Please read the below agreement (the Terms) before using the Platform and the Services.
These terms may be updated from time to time, so you should review the terms and conditions each time an investment is made via an Offering.
Offerings for Investment are not offers to the public, and Investments can only be made by You and other participants on the Platform based on the information provided in the Offerings by the relevant companies.
Bristol Property Management Group does not provide advice or recommendations regarding any aspect of Investments conducted through the Platform, other than information on the technical use of the Platform. This means, among other things, that Bristol Property Management Group does not provide investment, financial, legal, taxation, or other advice in connection with any Investments You make through the Platform, and nothing on the Platform or in any communications from Bristol Property Management Group should be interpreted as advice or a recommendation. If You need or want advice, please consult an appropriate professional investment, financial, legal, taxation, or other advisor.
Your attention is drawn to the Risk Warnings set out in the Schedule of these Terms.
- DEFINITIONS AND INCORPORATION
The following definitions and rules of interpretation apply to these Terms:
1.1. Definitions
Agent: has the meaning given to it in 3.7.
Applicable Laws and Regulations: all laws, rules, and regulations applicable from time to time to either party in relation to these Terms.
Constitutional Documents: the articles of association of the Offering Company and any convertible instrument (if applicable), bond instrument, or any other constitutional documents relating to an Investment.
Cooling Off Period: as defined at 6.11.
Confirmation Email: an email sent to You as defined at 6.8.
Conflicts of Interest Policy: the conflicts of interest policy required under FCA Rules and issued by Bristol Property Management Group from time to time to which Your use of the Services and Platform is subject.

1.2. In the event of a conflict between these Terms and any prospectus on an Offering, the prospectus shall take priority.
1.3. By agreeing to these Terms, you further confirm that You have also agreed and acknowledged:
1.3.1. that these Terms apply to all Investments made on the Platform from time to time;
1.3.2. any risk warnings and disclaimers on all Offering pages (as the same may be updated from time to time);
1.3.3. the Privacy Policy;
1.3.4. any terms of use for or end user license agreement for the Platform issued by Bristol Property Management Group; and
1.3.5. that the Investments made available from time to time are not offers to or open to the public in any jurisdiction, and Your agreement to these Terms signifies that You agree that the offer was not open to the public in any jurisdiction.

- AMENDMENTS
2.1. Bristol Property Management Group may amend these Terms from time to time to improve clarity, comply with legal or regulatory requirements, keep up with industry developments, reflect changes to Bristol Property Management Group’s business, products, or services, or to address matters that do not affect Your material contractual rights.
2.2. If Bristol Property Management Group makes a change that affects any of Your material contractual rights, you will be notified of such amendment(s) at least 10 Working Days before they take effect with respect to You. Such notification may occur by email, by notice on the Platform, or by other means allowed in these Terms.
2.3. If Bristol Property Management Group provides You such notice and You do not object to an amendment by the means given in the notice before the amendment takes effect, you will be deemed to have agreed to the amendment. If You object to an amendment, it will not be effective with respect to You, but Your rejection will be deemed to constitute Your notice of termination under these Terms.

- Authorisation and Categorisation
Investor Categories: Users must meet certain criteria to invest, including self-certification as a “high net worth investor” or “self-certified sophisticated investor” under UK law.
Discretionary Approval: Bristol Property Management Group may refuse or revoke authorisation at any time, especially if certification standards are not met.
Investor Competence: Investors must have the knowledge and experience to make informed investment decisions and understand associated risks.
- Fees and Costs
Investment Fees: Bristol Property Management Group may charge fees to Offering Companies, deducted from the gross investment.
Additional Fees: Other fees related to specific offerings will be disclosed beforehand.
Third-Party Fees: Investors may be responsible for extra fees payable to third parties or Offering Companies, which are separate from platform fees.
Platform Use: Registration and wallet maintenance on the platform are free.
- Equity Investment Process
Investment Opportunities: Users may invest in offerings available on the platform, sometimes through nominee arrangements.
Revocable Orders: Investments begin with a revocable order, followed by execution of an Investment Agreement and payment instructions.
Cooling Off Period: Investors have a 14-day window to cancel orders.
Completion Conditions: Investments only proceed if the offering is successful, with certain conditions met.
Withdrawal Rights: Funds can be withdrawn from an unsuccessful investment or if the investment is cancelled.
Investment Confirmation: A confirmation email serves as the official transaction record.
- Nominee Structure
Investment Holding: Investments may be held by a nominee appointed by Bristol Property Management Group, who holds the legal title to shares, while you retain the beneficial interest. The terms are detailed in the Investment Agreement.
Beneficial Ownership: As a beneficial owner, you have an economic interest similar to direct ownership, but you are not the legal owner, and thus are not in the same legal standing as a direct shareholder.
Interpretation of Terms: References to shareholder rights and shares in these Terms should be read as per the nominee arrangement.
Direct Holdings: Any offering that specifies direct shareholding will override the nominee structure terms.
- Investee Articles and Constitutional Documents
Compliance: By investing, you agree to the Offering Company’s articles of association and any constitutional documents, binding you to shareholder obligations and restrictions.
Form of Documents: Constitutional documents will be provided in the Confirmation Email or through the Offering.
- Responsibility for Offerings
Approval: Bristol Property Management Group reviews each Offering but does not provide investment advice or endorse suitability.
Due Diligence: You should independently assess the viability and risks of each Offering with professional assistance if needed.
Limit of Liability: Bristol Property Management Group does not guarantee or verify claims in Offerings, including eligibility for tax benefits like EIS or SEIS.
- 10. Complaints
Complaint Handling: Complaints should be reported to Bristol Property Management Group promptly. Initial responses are sent within 3 working days, with a final response within 8 weeks.
- 11. Financial Services Compensation Scheme (FSCS)
FSCS Coverage: Investments are not covered by the FSCS. More information on FSCS coverage is available on their website.
- 12. Termination
By You: You may terminate the agreement with 5 days’ notice if no outstanding investments are pending.
By Bristol Property Management Group: Immediate termination may occur due to breaches, criminal activities, misuse of the platform, insolvency, or regulatory requirements. A 10-day notice is provided in other cases.
Death: Termination occurs upon proof of death.
Surviving Terms: Certain terms (e.g., investments in Offerings) remain valid post-termination as required by regulations.
- 13. Assignment and Transfer
Assignment Restrictions: You cannot assign rights without consent, but Bristol Property Management Group may assign or delegate rights, provided compliance with regulations.
- 14. Record Retention
Record Keeping: Records will be retained for at least six years following termination, with destruction only upon regulatory compliance.
- 15. Notices
Communication: Notices can be delivered by email, through the platform, or by mail and are effective upon dispatch.
- 16. Third-Party Rights
Contractual Rights: Third parties have no rights to enforce terms under this agreement.
- 17. Governing Law and Jurisdiction
Jurisdiction: This agreement is governed by the laws of England and Wales, with any disputes resolved exclusively in its courts.
